Research License Agreement

1. Purpose

This Research License Agreement (the "Agreement") governs your acquisition and use of reference materials sold by Juno Labs, Inc. ("Juno"). By purchasing any product from junolabs.co, you ("Researcher", "you") accept this Agreement and warrant the representations below. This Agreement is incorporated by reference into Juno's Terms of Service.

2. Reference Materials Defined

Products sold under this Agreement are research-use-only (RUO) chemical reference materials supplied for laboratory research in a controlled environment. They are:

• Not drugs under the Federal Food, Drug, and Cosmetic Act.
• Not dietary supplements under DSHEA.
• Not cosmetics, medical devices, or biologics.
• Not approved by the FDA for diagnosis, treatment, cure, prevention, or mitigation of any disease or condition in humans or animals.
• Not intended for ingestion, injection, topical application, inhalation, or administration to any human or animal.

3. Researcher Representations

By accepting this Agreement, you affirmatively represent and warrant that:

(a) Age. You are at least 21 years of age.

(b) Qualification. You are a qualified researcher — affiliated with an academic, governmental, or commercial research institution, or you operate as an independent researcher engaged in bona fide laboratory or scientific investigation.

(c) Competence. You have (or will engage) the training, facilities, equipment, and supervisory controls necessary to handle the product safely under applicable laboratory standards.

(d) Intended use. You will use the product exclusively for in vitro laboratory research. You will not:

• Consume, ingest, inject, apply topically, inhale, or administer the product to yourself or to any other human being;
• Administer the product to any animal outside an IACUC-approved research protocol;
• Repackage, relabel, or resell the product for non-research purposes;
• Distribute the product to any person who has not accepted a materially equivalent research license;
• Make, support, or encourage any claim that the product diagnoses, treats, cures, or prevents any disease or condition.

(e) Jurisdiction. You are legally permitted to receive research reference materials at your shipping address. You are solely responsible for compliance with applicable federal, state, provincial, and local law.

(f) Accurate information. All information you provide to Juno (name, address, researcher status, age) is truthful and accurate. You will promptly update Juno if material information changes.

4. Handling and Storage Obligations

You agree to:

• Store lyophilized reference materials at −20°C or colder, in sealed, desiccated containers.
• Store reconstituted solutions at 2–8°C and dispose of them within 30 days.
• Label all aliquots with the SKU, lot number, reconstitution date, and storage conditions.
• Maintain segregation between research reference materials and any consumables, food, drugs, cosmetics, or supplements.
• Dispose of expired or unused material in accordance with applicable laboratory and environmental regulations.

5. Prohibited Uses (Non-Exhaustive)

You will not use reference materials, or allow others to use them, for:

• Any form of human self-experimentation, "biohacking," or consumer wellness practice.
• Compounding, sterile or non-sterile preparation, or dispensing to patients.
• Veterinary use outside an approved animal-care protocol.
• Resale, trade, or redistribution for consumption.
• Any purpose prohibited by the Controlled Substances Act, the Federal Food, Drug, and Cosmetic Act, the Anabolic Steroid Control Act, or analogous state laws.

Any of these uses is a material breach of this Agreement and of the Terms of Service.

6. No Warranty; Research Nature

Juno makes no representation or warranty as to the effect, efficacy, safety, or suitability of any reference material for any purpose other than in vitro laboratory research. You acknowledge that:

(a) published research on these compounds is often preliminary, animal-only, or limited to specific indications; and

(b) Juno has not conducted clinical trials, safety studies, or toxicology studies on its products.

7. Assumption of Risk; Release

To the fullest extent permitted by law, you assume all risk associated with your possession, handling, and use of Juno reference materials, and you release Juno, its officers, directors, employees, advisors, and suppliers from any and all claims, damages, injuries, or losses arising from:

• Any human or animal exposure to the product, whether self-inflicted, accidental, or intentional;
• Any off-label, non-research, or consumer use;
• Any third-party administration you facilitate or permit; and
• Any claim by a third party arising from your breach of this Agreement.

8. Indemnification

You will indemnify, defend, and hold harmless Juno and its related parties from any claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising from or related to:

(a) your breach of this Agreement; (b) any human or animal administration of the product, whether by you or by a person you supplied; (c) any misrepresentation of your researcher status, age, affiliation, or intended use; or (d) any regulatory, civil, or criminal action against Juno substantially caused by your conduct.

9. Audit Right

On 10 business days' written notice, and no more than once per 12-month period, Juno may request documentation of your institutional affiliation, IRB/IACUC approval (if applicable), and record of disposition for reference materials you have purchased. Your continued purchase of reference materials is conditioned on reasonable cooperation with such requests.

10. Termination

Juno may terminate this Agreement, refuse to fulfill pending orders, and cancel any subscription, at its sole discretion, if it reasonably believes you have breached this Agreement. Sections 6, 7, 8, 9, and 11 survive termination.

11. Governing Law; Dispute Resolution

This Agreement is governed by the laws of the State of Delaware. Disputes arising from this Agreement are subject to the informal resolution, binding arbitration, and class-action waiver provisions of the Terms of Service.

12. Acceptance

The "I agree — I am a qualified researcher, at least 21 years of age, purchasing reference materials for in vitro laboratory research" checkbox at checkout constitutes your electronic signature under the E-SIGN Act and UETA. Juno will retain a record of your acceptance with your order.

I will not consume, administer, or distribute it for any non-research use. I have read and accept Juno's Research License Agreement, Terms of Service, and Privacy Policy.
