These Terms of Service ("Terms") form a binding agreement between you ("you", "Buyer", "Researcher") and Juno Labs, Inc., a Delaware corporation ("Juno", "we", "us"). By accessing junolabs.co (the "Site"), creating an account, or placing an order, you agree to these Terms, our Privacy Policy, and the Research License Agreement. If you do not agree, do not use the Site.
You represent and warrant that:
(a) you are at least 21 years of age; (b) you are a qualified researcher — defined as an individual or entity engaged in bona fide laboratory or scientific research, affiliated with an institution, company, or independent research practice; (c) you are legally permitted to receive research reference materials in your jurisdiction; (d) you will use all products exclusively for in vitro laboratory research and will not consume, administer to any person or animal, resell for consumption, or distribute for non-research purposes; (e) all information you provide to Juno is accurate and current.
Juno may refuse, cancel, or void any order at its sole discretion, including but not limited to orders that appear to originate from non-research buyers, high-fraud-risk indicators, or restricted jurisdictions.
All products sold by Juno are research-use-only (RUO) reference materials.
Juno products are:
No statement on the Site, in marketing materials, in customer correspondence, or on product packaging is intended to be medical advice. You should not construe anything published by Juno as a recommendation for any course of research, protocol, or use.
An order is an offer to purchase; acceptance occurs only when Juno ships the order. Juno may refuse, limit, cancel, or correct any order prior to shipment, including for pricing errors, inventory constraints, compliance review outcomes, or payment failure.
Prices are in US Dollars unless otherwise stated. Prices, SKUs, and availability can change without notice. Advertised discounts and subscription rates are subject to the terms presented at checkout.
Accepted methods may include credit/debit card (via third-party high-risk merchant processor), ACH/wire, and cryptocurrency (BTC, ETH, USDC, via third-party processor). Cryptocurrency transactions are final and non-refundable once confirmed on chain. A discount may be offered for crypto settlement at Juno's discretion; the discount applies only at checkout and is not a retroactive rebate.
Buyer is responsible for all sales, use, VAT, GST, customs, duties, and other taxes or fees imposed on the transaction.
By enrolling in any subscription, you authorize Juno to charge your designated payment method on the cadence you select (e.g., every 8, 10, 12, or 16 weeks) until you cancel.
You may cancel, pause, skip, or modify any subscription at any time from your account, with no early-termination fee. Changes must be made at least 48 hours before the next scheduled shipment to apply to that cycle.
Juno may change subscription pricing with at least 30 days' written notice (via the email on file). Continued non-cancellation after the notice period constitutes acceptance.
Juno ships lyophilized reference materials with cold-chain packaging (gel ice packs, insulated mailer) where appropriate. Title and risk of loss pass to Buyer on delivery to the carrier.
Buyer is responsible for:
Lost, stolen, or delayed shipments attributable to carrier error are handled case-by-case; Juno may at its discretion reship or refund, but is not obligated to do so if Buyer-provided address information was incorrect, or if cold-chain failure was caused by Buyer's delayed receipt.
International orders: Buyer is the importer of record and is responsible for all customs clearance, duties, and local regulatory compliance.
Because our products are temperature-sensitive research reference materials and their chain of custody cannot be re-verified after leaving our facility, all sales are final once shipped, except:
(a) Product arrives visibly damaged or with broken seal (report within 48 hours with photos). (b) Wrong SKU shipped (report within 48 hours). (c) Cold-chain failure attributable to carrier, where gel packs arrived fully thawed and outer temperature indicator is triggered (report within 48 hours).
In those cases, at Juno's discretion, we will reship or refund. No refunds for Buyer's change of mind, change of research plan, or incorrect reconstitution.
The Site, its design, code, copy, photography, product names, logos, lot numbers, and the Juno wordmark are owned by Juno Labs, Inc. You may not copy, scrape, reproduce, or create derivative works without written permission. Product names and SKUs (Nocturne, Renew, Halo, Core, Ember, Tide, Pulse, Tether, and the Juno wordmark) are trademarks of Juno Labs, Inc.
You will not:
THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". JUNO EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
JUNO DOES NOT WARRANT THAT PRODUCTS WILL ACHIEVE ANY PARTICULAR RESEARCH RESULT, OR THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) JUNO'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE OR PRODUCTS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO JUNO FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.
(b) IN NO EVENT SHALL JUNO BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF RESEARCH RESULTS.
(c) JUNO IS NOT LIABLE FOR ANY CLAIM ARISING FROM HUMAN OR ANIMAL USE OF ITS PRODUCTS. SUCH USE IS EXPRESSLY PROHIBITED AND IS A BREACH OF THESE TERMS AND THE RESEARCH LICENSE AGREEMENT.
You will indemnify, defend, and hold harmless Juno, its officers, directors, employees, advisors, and suppliers from any claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising from or related to:
(a) your breach of these Terms, the Privacy Policy, or the Research License Agreement; (b) your misuse of any product, including any human or animal administration; (c) any misrepresentation of your researcher status, age, or intended use; or (d) your violation of any applicable law.
Before filing a claim, you agree to contact legal@junolabs.co and attempt informal resolution for at least 60 days.
Any unresolved dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Wilmington, Delaware. Judgment on the award may be entered in any court of competent jurisdiction.
YOU AND JUNO WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
You may opt out of arbitration by emailing legal@junolabs.co within 30 days of first accepting these Terms, with your full name, address, and a clear opt-out statement.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in New Castle County, Delaware.
Juno may update these Terms at any time. Material changes will be posted on the Site with an updated effective date, and for registered users, emailed to the address on file. Continued use after the effective date constitutes acceptance.
If any provision is held unenforceable, the remainder survives. These Terms, together with the Privacy Policy and Research License Agreement, constitute the entire agreement between you and Juno regarding the Site and products and supersede all prior or contemporaneous agreements.
